1. Introduction

Welcome to Wilbrock LLC! By accessing www.wilbrock.com and purchasing our services, you agree to the following Terms and Conditions. These terms outline our mutual rights and responsibilities, ensuring a smooth collaboration.

Wilbrock LLC reserves the right to update these Terms and Conditions at any time. The applicable version is the one in effect when you place your order.

2. Service Contract

When you purchase a service from Wilbrock LLC, a Service Contract is formed between you (the “Customer”) and Wilbrock LLC (the “Provider”). All services are provided remotely and digitally.

3. Service Packages & Custom Orders

We offer structured service packages and custom solutions tailored to Customer’s needs. The details and pricing for each available package are available on www.wilbrock.com

If you require a custom solution, we will provide a detailed proposal outlining the scope, timeline and pricing. A project officially begins once both parties confirm the agreement via email and upon completion of all financial obligations, if any.

4. Pricing & Payment

4.1 Pricing

All available prices are listed on our website or in personalized proposals. Prices are subject to change without prior notice. Once the Customer confirmed an order, the agreed price remains fixed.

4.2 Payment Terms

  • All payments must be made in full, before work begins, unless otherwise stated.
  • Payment is accepted via bank transfer.
  • Wilbrock LLC is not VAT-registered. Customers are responsible for any applicable taxes in their jurisdiction.
  • Customer will be provided with Invoices for each payment made.

5. Project Duration & Completion

5.1 Duration

Any indication given by WILBROCK LLC of a project’s duration is stated on www.wilbrock.com  and in the Service Contract. Any over – run is to be agreed amiable by the both parties. WILBROCK LLC cannot be held responsible for any project over-runs, coming from the Customer’s side, including here the delays in sending the materials, coming from the Customer’s side, necessary for work completion.

The estimated project duration shall be deemed to commence from the date on which Wilbrock LLC receives all necessary materials required for project completion from the Customer. This includes, but is not limited to, text, images, branding guidelines and any other essential assets required to execute the agreed-upon Service Contract.

Additionally, the project timeline shall only become effective once Wilbrock LLC has received the full payment or the agreed-upon initial deposit, as stipulated in the Service Contract.

Any delays in providing the required materials or settling the necessary payments shall result in a corresponding extension of the estimated project duration, for which Wilbrock LLC shall not be held liable.

Wilbrock LLC shall make all reasonable efforts to adhere to the agreed project timeline. However, the estimated duration is subject to adjustment in cases where additional revisions, modifications, or unforeseen circumstances arise.


5.2 Completion

WILBROCK LLC considers any project complete upon receipt of the Customer’s approval via email, upon the delivery of the contracted work by the provider and the formal acceptance thereof by the client and upon all due funds are cleared.

6. Work Process & Revisions

6.1 Graphic Design, Branding & Web Development

Wilbrock LLC provides Customers with preliminary graphic mockups for any graphic & web design projects.

  • Once a design concept or website mockup is approved, any supplementary structural changes will incur additional fees.
  • Customers are expected to provide feedback within the specified timeline, in the Service Contract.
  • Revisions are limited to the number specified in the Service Contract. Additional revisions will be charged separately.
  • The Customer agrees to allow WILBROCK LLC all necessary access to computer systems, if required, in order to complete a website project and until all due funds are cleared, including the necessary read/write permissions, usernames and passwords.
  • The Customer agrees to supply WILBROCK LLC with all necessary materials, using electronic means, required to create and complete the project and to supply them in a timely manner.
  • Hosting Services
    WILBROCK LLC offers web hosting services through an out-sourced virtual server. The Customer acknowledges that internet services are inherently subject to technical failures and disruptions from time to time. WILBROCK LLC does not guarantee continuous service and will accept no liability for loss of service, whatever the cause.
    Fees for hosting on WILBROCK LLC virtual server are due at the commencement of any period of service and are non-refundable.
  • Domain.com Registration/Transfer
  • The term domain.com is used in these Terms and Conditions as well as on www.wilbrock.com, as an example for the future names of the website domains.
  • WILBROCK LLC cannot guarantee the availability of any domain name.
  • WILBROCK LLC offers two options regarding the website domain:

OPTION 1 – WILBROCK LLC shall exercise its expertise and conduct all necessary research to identify the most suitable and representative domain name for the Customer’s business. The registration of the domain.com shall be carried out by WILBROCK LLC on behalf of the Customer.

OPTION 2 – The Customer retains the right to independently register the domain and configure it to point to Wilbrock LLC’s web hosting services by updating the domain’s nameservers as provided by Wilbrock LLC. Any costs associated with domain registration, configuration or transfer shall be solely borne by the Customer.

6.2 Content Creation

Wilbrock LLC provides professional content creation services, including but not limited to, written articles, blog posts, marketing copy, product descriptions, and social media content. By engaging Wilbrock LLC for content creation, the Customer agrees to the following terms:

  • Content Ownership & Licensing: Upon full payment, the Customer receives a non-exclusive, royalty-free license to use the delivered content. Wilbrock LLC retains the right to display samples of completed work in its portfolio, unless otherwise agreed upon in writing.
  • Plagiarism & Originality: Wilbrock LLC guarantees that all content provided will be original.
  • Revisions & Modifications: Content Creation services include up to the number of revisions specified in the Service Contract. Any additional revisions or substantial alterations requested after project completion will be subject to additional fees.
  • Delivery & Deadlines: Wilbrock LLC will make reasonable efforts to deliver content within the agreed timeframe. Delays caused by incomplete or late input from the Customer shall not be the responsibility of Wilbrock LLC.
  • Third-Party Rights & Compliance: The Customer is responsible for ensuring that all provided materials (e.g., reference documents, images) do not infringe upon third-party intellectual property rights.

6.3 Photo and Video Editing

Wilbrock LLC provides professional photo and video editing services, including but not limited to color correction, cropping, montage, post-production adjustments and visual enhancements. The Customer is responsible for supplying the original materials and Wilbrock LLC ensures a quality post-production work. By purchasing these services, the Customer agrees to the following terms:

  • Source Material & Ownership: The Customer must provide all original media files (images, video footage) in high-resolution and compatible formats. Wilbrock LLC does not claim ownership over the provided materials and only modifies them, per the Customer’s request.
  • Editing Scope & Limitations: Our services include adjustments specified in the Service Contract. Any requests beyond the agreed-upon scope incur additional fees.
  • Third-Party Rights & Compliance: The Customer is responsible for ensuring that all supplied images, videos, music and stock assets comply with copyright regulations. Wilbrock LLC is not liable for intellectual property disputes related to materials provided by the Customer.
  • Delivery & Revisions: Edited content will be delivered within the agreed timeframe. A limited number of revisions is included in Service Contract and additional modifications are subject to additional fees.
  • Final Approval & Acceptance: Once the final edited content is delivered, the Customer has 48 hours to request revisions. If no modifications are requested within this period, the work is considered accepted and finalized.
  • Licensing & Usage: Upon full payment, the Customer receives a non-exclusive, royalty-free license to use the final edited content, for its intended purpose. Wilbrock LLC retains the right to showcase edited work in its portfolio, unless explicitly agreed otherwise.

6.4 Digital Marketing

  • Online advertising campaigns are held by WILBROCK LLC  on behalf of its Customers. WILBROCK LLC    will implement the customer’s Google Adds account or will receive the permission to access an already existing account, for optimization purposes. The necessary amount of time for implementing and/or optimization is minimum  2 weeks.
  • WILBROCK LLC    will endeavor to help Customer to obtain its online advertising goals by providing it with advice, information and technical services, in relation to Search Engine advertising/marketing.
  • WILBROCK LLC   does not guarantee any particular rate of return or performance of any online advertising on Google Adds (including but not limited to any particular search results page/s or rankings). We cannot be held responsible for commercial outcomes which are associated with the Internet marketing or management of your Google Adds account for your business and/or websites.
    WILBROCK LLC   will not be liable in any way for fines, penalties, taxes, exemplary/aggravated/punitive damages, liquidated damages, indirect/consequential losses (including loss of contract, loss of production, loss of revenue, loss of profit, lost opportunity costs, and/or other loss not arising naturally and directly according to the usual course of things) or legal costs and expenses The maximum liability of WILBROCK LLC    to the Customer is the lesser of  the sum of Initial Setup Fee and Management Fees that Customer  have paid WILBROCK LLC   on a maximum one month period, before.
    WILBROCK LLC   reserves the right to stop managing Customer’s Google Adds account and terminate this Agreement at any time, by email notice. If this occurs, Customer’s  WILBROCK LLC   monthly management fee will stop immediately and no further payments will be charged. If the Customer wish to suspend or cancel WILBROCK LLC   management of its Google Adds account, at any time, it can do it, by email notice.  In any of these cases WILBROCK LLC   will cancel Customer’s Google Adds online advertising or, alternatively, The Customer may choose to directly access to the Google Adds account to arrange cancellation.

6.5 Professional Presentations, Infographics and Motion Graphics

Wilbrock LLC provides professional presentations, infographics and motion graphics tailored to the Customer’s business needs. These services include the creation of visually compelling materials for marketing, internal communication, educational purposes, and brand presentations. By purchasing these services, the Customer agrees to the following terms:

  • Scope of Work & Deliverables: The scope of each project, including the number of slides, animations, or infographics, will be defined in the custom proposal and  Service Contract. Any modifications beyond the agreed scope will be subject to additional charges.
  • Source Material & Content Responsibility: The Customer must provide all required content, including text, branding guidelines and any proprietary assets. Wilbrock LLC is not responsible for generating textual content unless explicitly agreed upon.
  • Any Content creation services involved will be subject to additional charges, as specified in the Service Contract.
  • Design & Customization: Wilbrock LLC ensures all designs are tailored to the Customer’s brand identity, incorporating color schemes, typography and visual elements as per the provided guidelines.
  • Third-Party Assets & Compliance: If stock images, licensed fonts, or audio elements are required, the Customer must either provide legally obtained assets or approve the acquisition of such assets, which may incur additional costs. Wilbrock LLC is not liable for the Customer’s use of unlicensed materials.
  • Revisions & Approval: A limited number of revisions, as specified in the Service Contract, will be provided. Additional revisions beyond this limit will be charged separately.
  • Delivery Timeline: Wilbrock LLC will deliver the final presentation, infographic, or motion graphic within the agreed timeframe. The Customer must provide timely feedback to avoid delays.
  • Final Approval & Acceptance: Upon delivery, the Customer has 48 hours to request final adjustments. If no revisions are requested within this period, the work is deemed accepted and finalized.
  • Licensing & Usage: Upon full payment, the Customer receives a non-exclusive, royalty-free license to use the final materials for their intended purpose. Wilbrock LLC retains the right to showcase completed work in its portfolio, unless otherwise agreed in writing.

7.  Content & Media

  • Customers must provide text in editable formats (.txt, .doc) and high-resolution images.
  • Wilbrock LLC is not responsible for the quality of materials provided by the Customer.
  • Additional charges may be incurred for any additional action, not included into the initial proposal, including, but not limited to, photography acquisition and processing, digital image processing or data entry services, color correction and alteration of images.
  • WILBROCK LLC will not include in its designs, any text, images or other data which it deems to be immoral, offensive, obscene or illegal. All advertising material must be conform to all standards laid down by all relevant advertising standards authorities. In the situation where any images and/or data that WILBROCK LLC does include in all good faith and subsequently discovers is in contravention to such Terms and Conditions, the Customer is obliged to allow WILBROCK LLC to remove the contravention without hindrance or penalty. WILBROCK LLC is to be held in no way responsible for any such data being included.

8. Refunds and Cancelations

Graphic design as any other form of design and art work, created on Customer’s  demand,  is not eligible for refunds.

  • Due to the digital nature of our work, all sales are final once a project has started.
  • If an order is canceled before work begins, a refund may be issued minus processing fees.
  • If a project is terminated after work has started, Wilbrock LLC reserves the right to retain up to 100% of the paid amount, depending on the work completed.

9. Copyright & Usage Right

  • Customers receive the necessary rights to use the final deliverables for their business.
  • Wilbrock LLC retains the right to showcase completed projects in its portfolio.
  • Customers must ensure they have rights to any materials they provide. Wilbrock LLC is not liable for copyright issues related to customer-supplied content.

10. Liability & Warranty

  • Wilbrock LLC provides services “as is” and is not responsible for third-party service failures (e.g., hosting downtimes, payment gateway issues).

11. Confidentiality

The confidentiality of personal data is respected by WILBROCK LLC The information collected from the Customer is used for the following purposes:

  • processing orders, issuing invoices and delivering orders;
  • promoting existing or new products and/or services available on the website (via e-newsletters);
  • improving the Customer’s browsing experience on the website (through e-surveys, regarding the degree of customer satisfaction, after browsing the website).

The personal data remain on the website platform as long as the customer account exists. In the event that the Customer wishes to delete personal data, this can be done upon request, by email to WILBROCK LLC.

Commercial communications represent all materials and messages, sent electronically, that contain general information, technical data or any other information, about the products and/or services sold on the website. Once an order is registered and confirmed on the website, the Customer agrees and accepts the commercial communication.

Disclaimer

WILBROCK LLC makes no warranties of any kind, express or implied, for any and all services that it supplies. Any claim against WILBROCK LLC shall be limited to the relevant fee(s) paid by the Customer.
WILBROCK LLC reserves the right to use the services of sub-contractors, agents and suppliers and any work, content, services and usage is bound by their Terms and Conditions. WILBROCK LLC will not knowingly perform any actions to contravene these and the Customer also agrees to be so bound.

Final Terms

These Terms and Conditions supersede any previous Terms and Conditions distributed in any form. WILBROCK LLC reserves the right to change any rates and any of the Terms and Conditions at any time and without prior notice.
